Publisher Terms of Use

These Publisher Terms of Use ("Terms") govern your participation in the Mintfunnel publisher network operated by CB Platforms LLC, a Delaware limited liability company doing business as Mintfunnel ("CB Platforms", "Mintfunnel", "we", "our", or "us"). By installing, embedding, or otherwise using Mintfunnel's advertising widgets, plugins, or related technology (collectively, the "Services"), you agree to these Terms. If you do not agree to these Terms, do not use the Services.

Scope of Services

Mintfunnel provides: A Native Ad Widget for monetizing digital properties through sponsored content; A WordPress Plugin enabling PR content distribution and revenue participation. Use of the Services is non-exclusive and subject to these Terms.

Publisher Responsibilities

Approved Properties Only

You may display Mintfunnel ads only on a website, app, or other digital property that you have submitted to us and that we have approved for your account. This is the central obligation of the Publisher Program, and it applies as follows:

(a) Approval is required before monetization. Every property must be submitted through your Mintfunnel account and approved by us before you place our widget, plugin, or ad code on it. Approval is granted per property; approval of one property does not extend to any other property, and unless we state otherwise in writing, approval of a domain does not extend to its subdomains, mirrors, translated or proxied versions (including automated translation subdomains), or any other domain you control.

(b) Ownership and authorization. You may submit only properties that you own or that you are expressly authorized by the owner to monetize. By submitting a property you represent that this is true, and you agree that any supporting material you provide us, including traffic statistics, analytics screenshots, and audience figures, is accurate and relates to that property. Submitting a property you do not own or control, whether or not ads are ever served on it, is a material breach of these Terms.

(c) Verification. We may require you to demonstrate control of a property before or after approval, including by publishing a DNS record, a meta tag, or a file that we specify. We may withhold approval, suspend serving, or revoke an existing approval where verification is not completed or does not succeed.

(d) Declined properties. A property we decline is not eligible for monetization. You may not place our ad code on a declined property, resubmit it without addressing the stated reason, or submit it under a different Mintfunnel account.

(e) One account. You may hold only one Publisher account unless we agree otherwise in writing. Operating additional or undisclosed accounts, including accounts registered under a different name, email address, or payout destination, in order to monetize properties we have declined or to circumvent any decision under these Terms, is a material breach.

(f) Consequences. Traffic served on a property that is not approved for your account is unbilled traffic: we cannot invoice an advertiser for it, and we credit it back to them. Accordingly, no revenue accrues to you for it. See "Unapproved Placements" under Revenue & Payments.

Technical Requirements

Your website or app must remain accessible and online. Widgets or plugins must be visible, functional, and not altered to misrepresent performance. Notify us promptly of outages, bugs, or malfunctions.

Content Restrictions

You may not display our tools on websites containing illegal, infringing, misleading, violent, hateful, or sexually explicit content. No placement on cloaked domains, masked URLs, or prohibited content farms. All traffic must be organic or approved. No bots, click fraud, or artificial manipulation. No placement on faucet-type websites. Publishers must not incentivize site visitors to click on ads. More information regarding content requirements can be found in the Help Center.

Ad Labeling

You must clearly label Mintfunnel-served ads or sponsored content to comply with FTC guidelines (e.g., using terms like "Ad" or "Sponsored").

Revenue & Payments

Revenue Share

Revenue share is determined during onboarding and may be updated by Mintfunnel at any time, with notice. All earnings are based on Net Revenue received by Mintfunnel. "Net Revenue" means total gross revenue received by Mintfunnel for ads served via the Publisher's integration, less applicable third-party platform fees, chargebacks, refunds, taxes, or amounts withheld for suspected or confirmed fraud or non-payment by advertisers.

Unapproved Placements

Earnings accrue only on traffic served through an approved property. Amounts recorded against a property that was never approved for your account, that we declined, or whose approval was revoked are not earned, are not payable, and may be withheld or reversed at any time, including after they appear in your balance and including where a payout request covering them is already pending. Where such amounts have already been paid out, we may recover them by offset against future earnings or as a debt. Nothing in this paragraph requires us to show that the traffic was fraudulent; it is enough that the placement was not approved.

Payment Terms

Payments may be made via Stripe Connect or supported cryptocurrencies. Minimum payout thresholds may apply. Mintfunnel reserves the right to withhold, offset, or claw back any payments due or previously made in the event of: Fraud or policy violations by the publisher; Placement of our ad code on any property not approved for your account; Operation of more than one Publisher account without our written agreement; Suspected manipulation of traffic, clicks, or impressions; Chargebacks, fraud, or non-payment by advertisers.

Reporting

Performance data is provided via dashboard or email. You must report any discrepancies within 30 days.

Compliance & Privacy

Legal Obligations

You must comply with all applicable laws, including GDPR, CCPA, and relevant consumer protection and advertising regulations. You are solely responsible for your own content and legal compliance.

Privacy & Data Use

Your site must have a privacy policy disclosing data usage and third-party integrations. Use of Mintfunnel tools must comply with user consent and opt-out standards, including cookie banners where legally required.

Audit Rights

Mintfunnel reserves the right to audit Publisher's ad implementations, traffic sources, and performance metrics to verify compliance. Publisher agrees to cooperate with reasonable requests, including providing access to public URLs, dashboards, and screenshots.

Intellectual Property

All Mintfunnel technology, code, ad content, and branding remain the exclusive property of CB Platforms LLC. You are granted a limited, revocable, non-transferable license to use our Services solely for as long as you comply with these Terms.

Marketing & Promotional Authorization

By participating in the Publisher Program you hereby grant CB Platforms LLC, its parent, sibling, and affiliated entities (collectively, "CB Platforms") a worldwide, royalty-free, non-exclusive, sublicensable, and perpetual license to: (1) Use your name, logo, and trademarks in CB Platforms' marketing, advertising, sales, and promotional materials (including without limitation on websites, social media, presentations, press releases, decks, pitches, or other collateral). (2) Reference you as a "Publisher," "user," or "client" of the Mintfunnel platform. (3) Feature your campaign performance data, such as performance metrics, anonymized outcomes, visuals, and summaries, as part of case studies, testimonials, or other promotional content, provided such information is accurate and not materially misleading.

Suspension & Termination

Either party may terminate participation with 10 days' notice. Mintfunnel may suspend or terminate access at any time, without notice, for violations of these Terms, suspected fraud, or security risks. Upon termination, all widgets, code, and plugins must be removed immediately.

A suspended or terminated publisher keeps access to our support channels in order to raise a question or appeal a decision, and we will review anything they send. Suspension does not by itself release any balance held under Revenue & Payments.

Indemnification & Liability

Your Responsibility

You agree to indemnify and hold harmless CB Platforms LLC from any claims, damages, or legal actions arising from your content, use of the Services, or violations of law.

Limitation of Liability

Mintfunnel shall not be liable for indirect, incidental, or consequential damages (e.g., lost revenue). Our maximum liability to you is capped at the lesser of: Total amounts paid to you in the past 12 months, or $10,000.

Confidentiality

You may not share or misuse any non-public information obtained through your use of Mintfunnel, including performance data, pricing, or proprietary business practices.

Non-Solicitation

During the term of your participation in the Mintfunnel Publisher Program and for a period of twelve (12) months thereafter, you agree not to directly or indirectly solicit, recruit, or attempt to hire any employee, contractor, or business partner of CB Platforms LLC (or its affiliates) with whom you interacted or became aware of through your use of the Services, without our prior written consent. This restriction does not apply to generalized public job postings not targeted at specific individuals affiliated with CB Platforms.

Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, labor strikes, governmental actions, war, terrorism, cyberattacks, failures of internet or hosting infrastructure, or other events outside the party's control, provided that the affected party promptly notifies the other and takes reasonable steps to resume performance as soon as possible.

Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware. All disputes will be resolved through binding arbitration in Wilmington, Delaware under AAA rules. You agree that service of legal process may be made via email to the address associated with your Mintfunnel account, or any other email reasonably believed to be yours.

Miscellaneous

These Terms constitute the entire understanding between you and CB Platforms regarding your use of Mintfunnel. We may update these Terms at any time by posting changes to our website. Continued use of the Services constitutes acceptance of the revised Terms. If any part of these Terms is found unenforceable, the rest remains in effect. You may not assign your participation or benefits without our written permission.
